Terms of Use and Sale

Introduction

These Terms of Use and Sale ("Terms") govern your access to and use of the websites, digital platforms, online courses, content, materials, services, and related offerings (collectively, the "Services") provided by Wicked Problem Solving Inc., an Ontario corporation ("WPS", "we", "us", or "our").

By accessing, purchasing, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

If you enter into a separate written agreement with WPS (including an enterprise or corporate license agreement), that agreement will govern to the extent of any inconsistency with these Terms.

1. Eligibility and Account Registration

You must be at least 18 years of age to purchase or access the Services. By using the Services, you represent that you have the legal capacity to enter into a binding agreement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to provide accurate and complete information when registering.

2. Intellectual Property Ownership

All content made available through the Services — including without limitation course materials, visual frameworks, playbooks, graphics, methodologies, text, video, audio, designs, and proprietary systems (collectively, the "Content") — is the exclusive property of Wicked Problem Solving Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws.

No ownership rights are transferred to you. The Content is licensed, not sold.

3. License Grant

Subject to compliance with these Terms, WPS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business learning purposes during the applicable access term.

This license does not permit reproduction, redistribution, resale, sublicensing, public display, derivative works, or commercial exploitation of any Content.

4. License Types

Individual License

An Individual License permits access by a single named user. Sharing login credentials is strictly prohibited.

Corporate Per-Seat License

A Corporate Per-Seat License permits access by a single designated employee within an organization. Each user must have their own paid license. Licenses may not be shared.

Enterprise License

Enterprise Licenses are governed by a separate written agreement or order form specifying scope, duration, and permitted users. Unless expressly agreed in writing, Enterprise Licenses do not grant rights to reproduce, redistribute, or modify Content.

Facilitation Rights

The right to facilitate workshops, internal training sessions, or organizational programs using WPS methodologies requires a separate written facilitation agreement. Purchase of a course does not grant facilitation rights.

5. Prohibited Uses

You agree that you will not:

• Reproduce, copy, distribute, sell, sublicense, or publicly display any Content
• Upload Content to any learning management system (LMS), shared drive, intranet, or public platform
• Share login credentials or permit simultaneous use by multiple users
• Use Content to create derivative works
• Reverse engineer or extract underlying methodologies
• Use automated systems or scraping tools to access the Services

6. AI and Data Extraction Restrictions

Given the proprietary nature of WPS methodologies, you expressly agree that you will not:

Any such use constitutes a material breach of these Terms.

7. Terms of Sale

Pricing and Currency

All prices are listed in the currency indicated at checkout. WPS reserves the right to change pricing at any time without notice.

Payment Processing

Payments are processed through secure third-party processors. By submitting payment information, you authorize WPS and its payment processor to charge the applicable fees.

Taxes

You are responsible for any applicable sales taxes, including HST/GST or other consumption taxes required by law.

Access Term

Unless otherwise specified, access to purchased digital courses is granted for six (6) months from the date of purchase. Access automatically expires at the end of this term. WPS reserves the right to modify or discontinue course availability at its discretion.

8. Refund Policy

All sales are final except as expressly provided below.

WPS offers a fourteen (14) day refund period from the date of purchase, provided that the user has accessed less than five percent (5%) of the course content as measured by platform analytics. If more than five percent (5%) of the course has been accessed, no refund will be issued.

Refund eligibility is determined solely by WPS based on platform engagement data. Chargebacks initiated in violation of this policy may result in immediate termination of access and additional collection measures.

9. Termination and Suspension

WPS may suspend or revoke access to the Services at any time if you violate these Terms. Upon termination, your license immediately ceases and you must discontinue use of all Content.

10. Disclaimer of Warranties

The Services and Content are provided for educational and informational purposes only. WPS does not provide legal, financial, psychological, or professional advisory services.

No guarantees are made regarding business results, leadership outcomes, financial performance, or organizational transformation. Results vary based on individual and organizational factors.

The Services are provided "as is" without warranties of any kind, express or implied.

11. Limitation of Liability

To the fullest extent permitted by law, Wicked Problem Solving Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services.

In no event shall WPS's total liability exceed the amount paid by you for the applicable course or Service.

12. Indemnification

You agree to indemnify and hold harmless Wicked Problem Solving Inc. from any claims, damages, liabilities, and expenses arising from your misuse of the Services or violation of these Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or relating to these Terms shall be resolved exclusively in the courts located in Toronto, Ontario.

14. Modifications

WPS reserves the right to update or modify these Terms at any time. Continued use of the Services following such modifications constitutes acceptance of the updated Terms. We will not retroactively reduce your rights under these Terms without your explicit consent.

For material changes, we will provide reasonable notice via email or a prominent notice on our website prior to the change taking effect.
